prohibited.

Promotional materials may be distributed and visitors may be approached only from the Exhibitor’s own stand.

The Exhibitor is responsible for the acts and omissions of its employees, representatives, suppliers and any other persons engaged by it.

Article 12 – Visitor Admission Policy and Registration Links

Free admission to Credit Expo is exclusively available to professionals involved, within their own organisation, in credit management, order-to-cash or the use of related solutions as policymakers, purchasers or end users.

Persons working for or on behalf of a supplier, intermediary or consultancy commercially targeting credit managers are, in principle, not part of the target audience for free admission unless the Organiser decides otherwise.

Each Exhibitor may receive a unique registration link to distribute among prospects and business contacts belonging to the visitor target audience.

The Exhibitor must use this registration link carefully and may not distribute it through discount websites, untargeted public databases, general competitions or channels primarily aimed at individuals outside the visitor target audience.

The Organiser may verify, reject or cancel any registration if the registered person does not belong to the target audience, provides incorrect information or fails to comply with the admission policy.

Registrations submitted through an Exhibitor may also be rejected. In such cases, the Exhibitor is not entitled to any reimbursement or compensation.

In the event of systematic or apparent misuse, the Organiser may block or withdraw the registration link.

Article 13 – Seminars and Speakers

This article applies if the Exhibitor’s participation package includes a seminar, presentation or other contribution to the conference programme.

The Exhibitor must provide titles, descriptions, speaker details, portrait photographs, presentations and other requested materials within the deadlines communicated by the Organiser.

The seminar content must be relevant to the professional field, the visitor target audience and the content positioning of the Event.

The Organiser may edit submitted titles and descriptions without materially changing their meaning.

The Exhibitor and the speaker are responsible for the accuracy and lawfulness of the presentation and for all texts, images, videos, music, software and other materials used.

The Exhibitor warrants that it has obtained all necessary rights and permissions.

If an announced speaker is unable to attend, the Exhibitor must arrange a suitable replacement in consultation with the Organiser.

The Organiser may change the room, time and duration of the seminar if necessary for organisational or content-related reasons.

The Organiser does not guarantee a minimum number of attendees for any seminar.

The Exhibitor may record or livestream a seminar only with the Organiser’s prior written consent.

Article 14 – Prices, Invoicing and Payment

All prices exclude VAT and any other applicable taxes unless stated otherwise in writing.

Payment must be made in full upon receipt of the invoice.

The payment term is thirty days from the invoice date, provided that the full invoice amount must be credited to the Organiser’s bank account no later than two calendar days before the start of the Event.

For registrations made within thirty days before the Event, the full amount is payable immediately.

The Exhibitor must submit any objection to an invoice in writing, stating the reasons for the objection, within fourteen calendar days of the invoice date. Submitting an objection does not suspend the obligation to pay the undisputed portion of the invoice.

In the event of late payment, the Exhibitor will be in default without any further notice of default being required and will owe the applicable statutory commercial interest and reasonable extrajudicial collection costs.

If the Exhibitor fails to pay on time, the Organiser may:

a. deny the Exhibitor access to the Event;
b. withhold the stand and agreed facilities;
c. suspend the performance of its obligations;
d. terminate the Exhibitor’s participation without releasing the Exhibitor from its payment obligations.

The Exhibitor may not set off any amounts due or suspend its payment obligations unless the counterclaim has been acknowledged in writing by the Organiser or established by a final and binding court judgment.

Article 15 – Cancellation by the Exhibitor

Cancellation of a confirmed participation must be communicated to the Organiser in writing or by email.

In the event of cancellation, the Exhibitor will owe the following cancellation fee:

a. for cancellation more than six months before the Event date: 25% of the agreed participation fee;
b. for cancellation from six months up to and including three months before the Event date: 50% of the agreed participation fee;
c. for cancellation less than three months before the Event date: 100% of the agreed participation fee.

The applicable cancellation date is the date on which the Organiser receives the written cancellation.

The cancellation fee will be calculated on the total agreed participation fee, including any additional services ordered in writing, insofar as the Organiser can no longer cancel those services without incurring costs.

If the Exhibitor has already paid more than the applicable cancellation fee, the difference will be refunded. If the Exhibitor has paid less, the outstanding balance will remain payable.

Failure to attend, failure to use the stand, failure to provide materials on time or leaving the Event early does not constitute a valid cancellation and does not entitle the Exhibitor to a refund.

Replacement by another company or transfer of the participation is permitted only with the Organiser’s prior written consent.

Any replacement company proposed by the Exhibitor must meet the exhibitor profile. The Organiser may charge reasonable administrative and production costs.

Article 16 – Changes to and Rescheduling of the Event

The Organiser may make limited changes to the programme, opening hours, room layout, facilities, floor plan, seminars, speakers and other elements of the Event where reasonably necessary.

Such changes do not entitle the Exhibitor to cancel, receive a price reduction or claim compensation, provided that the essential nature of the participation is preserved.

If exceptional circumstances prevent the Event from taking place on the announced date or at the announced venue, the Organiser may reschedule the Event or move it to a comparable venue.

If the Event is rescheduled to a date falling no later than twelve months after the originally announced date:

a. the participation will automatically transfer to the new date;
b. the agreement and all payment obligations will remain in force;
c. the new date will be used to calculate any subsequent cancellation by the Exhibitor.

A change or rescheduling does not entitle the Exhibitor to reimbursement of any travel, accommodation, staffing, production, marketing or other costs incurred by the Exhibitor.

Article 17 – Force Majeure and Definitive Cancellation

Force majeure means any circumstance beyond the Organiser’s reasonable control that makes organising, continuing or safely conducting the Event impossible, unsafe or unreasonably onerous.

Force majeure includes, but is not limited to:

a. fire, flooding, storms or other natural disasters;
b. epidemics, pandemics or serious health threats;
c. war, terrorism, sabotage, civil unrest or a serious threat thereof;
d. strikes, blockades or serious transport disruption;
e. failure of energy supplies, communication networks or essential infrastructure;
f. government measures, emergency orders or restrictions;
g. the unexpected unavailability of the venue for reasons beyond the Organiser’s control;
h. other comparable circumstances that the Organiser could not reasonably have prevented.

In the event of force majeure, the Organiser may suspend its obligations or shorten, modify, reschedule or cancel the Event.

If the Event is cancelled but reorganised within twelve months of the original date, the participation will automatically transfer to the new date.

If the Event is definitively cancelled and is not rescheduled within twelve months of the original date, the amount already paid will be converted into a credit towards participation in the next edition of Credit Expo Belgium.

The credit:

a. will equal the participation fee paid by the Exhibitor;
b. will be offset against the price of a comparable participation package for the next edition;
c. cannot be redeemed for cash;
d. may be transferred to another company only with the Organiser’s prior written consent.

If the package selected for the next edition is more expensive, the Exhibitor must pay the difference. If the Exhibitor selects a less expensive package, the remaining credit will not be paid out in cash.

The Organiser is not liable for any additional costs or damage resulting from force majeure, changes, rescheduling or cancellation, including travel, accommodation, staffing, marketing, production and supplier costs.

Article 18 – No Guarantee Regarding Visitors or Results

The Organiser will make reasonable efforts to organise the Event professionally and promote it among the relevant target audience.

Statements concerning expected visitor numbers, visitor profiles, exhibitors, seminars, leads, reach or previous results are indicative only.

The Organiser does not guarantee:

a. a minimum number of visitors;
b. the attendance of specific persons, companies or professional profiles;
c. a minimum number of leads, appointments or badge scans;
d. revenue, contracts, brand awareness or any other commercial results.

Failure to meet expectations or commercial objectives does not entitle the Exhibitor to a price reduction, termination of the agreement or compensation.

Article 19 – Liability of the Exhibitor

The Exhibitor is responsible and liable for all damage caused by the Exhibitor or its employees, representatives, suppliers, assistants, guests, materials or activities.

This includes, but is not limited to, damage to:

a. the venue and its infrastructure;
b. stand materials and furniture;
c. property belonging to the Organiser;
d. property belonging to other exhibitors, visitors or third parties;
e. persons.

The Exhibitor may be charged for the costs of repair, cleaning, replacement or removal.

The Exhibitor will indemnify the Organiser against third-party claims arising from:

a. acts or omissions of the Exhibitor;
b. its products, services, presentations or marketing communications;
c. breaches of legislation or third-party rights;
d. unlawful processing of personal data;
e. unsafe or unauthorised activities.

Throughout its participation, the Exhibitor must maintain appropriate business and public liability insurance.

The Organiser may require the Exhibitor to provide valid proof of insurance.

Article 20 – Liability of the Organiser

The Organiser is not liable for any loss, theft, damage to or disappearance of the Exhibitor’s goods, materials, equipment or personal belongings.

The Exhibitor is responsible for the supervision, security, transport, storage and insurance of its property.

The Organiser is not liable for indirect loss, consequential loss, loss of profit, loss of anticipated savings, reputational damage, loss of data, missed business opportunities or losses arising from business interruption.

If the Organiser is nevertheless held liable despite these limitations, its total liability will be limited to the participation fee, excluding VAT, actually paid to the Organiser by the Exhibitor for the Event concerned.

For the purposes of applying the liability cap, a series of related events will be regarded as a single event.

The Exhibitor must report any damage to the Organiser in writing, stating the reasons for the claim, as soon as possible and no later than fourteen calendar days after discovering—or reasonably being expected to have discovered—the damage.

Article 21 – Intellectual Property

All intellectual property rights relating to the Credit Expo name, corporate identity, website, texts, designs, programmes, floor plans, databases and other materials remain vested in the Organiser or its licensors.

The Exhibitor may use the Credit Expo name and logo only to publicise its participation in the relevant edition and in accordance with any brand guidelines issued by the Organiser.

For the organisation and promotion of the Event, the Exhibitor grants the Organiser a royalty-free, non-exclusive licence to use the following materials supplied by the Exhibitor:

a. trade name and logo;
b. company description;
c. product and service information;
d. seminar descriptions;
e. speakers’ names, job titles and submitted photographs;
f. other promotional materials.

This licence includes use on the website, in emails, on social media, in programme brochures, press communications, advertisements, photographic and video reports, and in the promotion of the relevant and future editions of Credit Expo.

The Exhibitor warrants that it has obtained all necessary rights and permissions.

The Organiser may edit, shorten or adapt submitted texts, provided that their substantive meaning is not materially changed.

Article 22 – Photography, Video and Other Recordings

Photographs, videos, audio recordings and other general event footage may be produced by or on behalf of the Organiser during the Event.

These recordings may be used for editorial, promotional, commercial and archival purposes relating to Credit Expo, including publication on websites and social media and in newsletters, advertisements, brochures, press releases and aftermovies.

The Exhibitor must inform its stand staff, speakers, suppliers and other persons registered by it in advance that image and audio recordings may be made during the Event and refer them to the Organiser’s privacy statement.

Anyone who objects to appearing recognisably in close-up images may notify the Organiser before or during the Event. The Organiser will take this into account insofar as reasonably possible.

The Organiser may request separate consent for targeted interviews, testimonials or individual portrait photographs or recordings.

The Exhibitor may take its own photographs and video recordings during the Event, provided that:

a. visitors and other exhibitors are not inconvenienced;
b. the privacy and image rights of others are respected;
c. presentations, confidential information or other stands are not recognisably recorded as the principal subject without permission;
d. the recordings do not create the impression that the Organiser endorses the Exhibitor’s content or services.

Article 23 – Personal Data and Badge Scanning

The Organiser processes personal data in accordance with its privacy statement and applicable data protection legislation.

If the Exhibitor receives visitors’ personal data through badge scanning, forms, appointments or other means, the Exhibitor becomes independently responsible for any subsequent processing of those data from the moment of receipt.

The Exhibitor must:

a. process personal data lawfully, fairly and transparently;
b. provide the data subjects with the information required by law;
c. use the data only for clearly defined and lawful purposes;
d. implement appropriate technical and organisational security measures;
e. respect requests for access, rectification and erasure and objections to processing;
f. retain the data no longer than necessary;
g. refrain from unlawfully selling or sharing the data with third parties.

Scanning a badge does not automatically give the Exhibitor permission to contact the individual for every conceivable marketing purpose. The Exhibitor must determine the appropriate legal basis required for each subsequent processing activity.

The Exhibitor may not pressure visitors into having their badges scanned.

The Exhibitor may not collect visitor data through unauthorised scraping, photographing badges, copying attendee lists or other unapproved methods.

In the event of misuse, the Organiser may immediately withdraw access to badge scanning or other lead-generation facilities.

The Organiser is not liable for the manner in which the Exhibitor subsequently processes any personal data received.

The Exhibitor will indemnify the Organiser against claims, fines and costs arising from unlawful processing by the Exhibitor.

Article 24 – Confidentiality

The parties will treat as confidential any confidential information received in connection with the agreement.

Information will be considered confidential if it has expressly been identified as such or if its confidential nature can reasonably be inferred from the nature of the information.

The confidentiality obligation does not apply to information that:

a. is publicly available without any breach of the agreement;
b. was lawfully obtained from a third party;
c. was developed independently;
d. must be disclosed pursuant to a legal obligation or court order.

Attendee lists, non-public visitor data, access details and the Organiser’s internal operational information may not be copied, sold, published or used for any other purpose.

Article 25 – Breach and Termination

If the Exhibitor fails to comply with these conditions, safety regulations or reasonable instructions, the Organiser may require it to remedy the breach immediately.

In the event of a serious breach, safety risk or repeated non-compliance, the Organiser may, without prior notice of default:

a. suspend activities;
b. remove materials or have them removed;
c. deny individuals access;
d. withdraw badge or registration facilities;
e. close the stand;
f. terminate the participation in whole or in part.

Termination due to a breach attributable to the Exhibitor does not entitle the Exhibitor to a refund and does not affect its payment obligations.

Any reasonable costs incurred by the Organiser to remedy a breach or repair damage may be charged to the Exhibitor.

Article 26 – Complaints

Complaints concerning the stand, facilities or organisation of the Event must be reported to the Organiser as soon as possible during the Event, allowing the Organiser an opportunity to provide a solution.

If a complaint cannot be resolved during the Event, the Exhibitor must submit it in writing, stating the reasons for the complaint, no later than fourteen calendar days after the Event.

A complaint does not suspend the Exhibitor’s payment obligations.

Failure to submit a complaint on time may result in the Exhibitor no longer being entitled to rely on that complaint, insofar as legally permitted.

Article 27 – Communications and Amendments

Notices and declarations between the parties may validly be communicated by email.

The Exhibitor must ensure that the Organiser always has its current contact and invoicing details.

The Organiser may amend or supplement practical guidelines where necessary for the safe and proper organisation of the Event.

Changes affecting the material commercial content of the agreement will be communicated to the Exhibitor in writing.

The Organiser may amend these Terms and Conditions of Participation for future registrations. An agreement already concluded will remain subject to the version accepted when it was concluded, except for necessary amendments resulting from legislation or government regulations.

Article 28 – Severability and Waiver

If any provision of these conditions is found to be wholly or partially void, voidable or unenforceable, the remaining provisions will remain in full force and effect.

The parties will replace the invalid provision with a valid provision that reflects its purpose and economic intent as closely as possible.

The Organiser’s failure or delay in exercising a right does not constitute a waiver of that right.

Article 29 – Governing Law and Competent Court

Every application, registration, agreement and legal relationship between the Organiser and the Exhibitor is governed exclusively by Dutch law.

The parties will first attempt to resolve any dispute through mutual consultation.

Any dispute that cannot be resolved through mutual consultation will be submitted exclusively to the competent court of the Amsterdam District Court, insofar as this choice of forum is legally permitted.

This choice of law does not exclude any mandatory Belgian or European provisions that remain applicable because of the location or nature of the Event.

Article 30 – Language and Final Provision

These Terms and Conditions of Participation may be made available in multiple languages.

In the event of any discrepancy in interpretation or content, the Dutch-language version will prevail unless mandatory law provides otherwise.

Any provisions which, by their nature, are intended to remain in effect after the agreement expires or is terminated will survive.
